　　Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. (hereinafter referred to as "the Company") disclosed the "Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. Major Asset Restructuring Suspension Announcement" on August 26, 2015 (see: Announcement No. 2015-061), the "Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. Announcement on Continuing Suspension of Major Asset Restructuring" on September 26, 2015 (see: Announcement No. 2015-080), and the "Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. Progress of Major Asset Restructuring and Announcement on Continued Suspension" on October 24, 2015 (see: Announcement No. 2015-087). During the above period, an announcement on the progress of the major asset restructuring was issued every five trading days.

　　On October 27, 2015, the Company held its 29th meeting of the 6th Board of Directors, where it deliberated and approved relevant resolutions concerning the major asset acquisition (see the Shanghai Stock Exchange website www.sse.com.cn). On November 10, 2015, the Company disclosed the announcement that Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. received the "Review Opinion Letter on the Draft Major Asset Restructuring Plan of Ningxia Xinri Hengli Steel Wire Rope Co., Ltd." (see: Announcement No. 2015-095). The Company's intermediary agencies and related personnel have provided item-by-item explanations and responses to the issues raised in the review opinion letter, and have also made supplementary explanations to documents such as the "Ningxia Xinri Hengli Steel Wire Rope Co., Ltd. Major Asset Acquisition Report" in accordance with the requirements of the review opinion letter. The response announcement will be published on November 19, 2015, in the Shanghai Securities News, Securities Times, and on the Shanghai Stock Exchange website (www.sse.com.cn). The revised Major Asset Acquisition Report, summary, and other documents will be published on the Shanghai Stock Exchange website (www.sse.com.cn) on November 19, 2015.
